Job Description Overview

As a full-time corporate attorney at Sarnova, you will work under the direction of the SVP & General Counsel and Director of Legal Services and will be responsible for supporting Sarnova's business operations. General duties will include drafting and negotiating a variety of commercial contracts, managing litigation and advising on health law regulatory issues.

Sarnova is the leading national specialty distributor of health care products in Emergency Medical Services (EMS) and Respiratory Markets and is the industry leader in Revenue Cycle Management within Emergency Medical Services (EMS). The company operates through several market-leading companies including Tri-anim Health Services, the largest specialty distributor of respiratory products, Bound Tree Medical, the largest supplier of EMS products, EMP and Cardio Partners, a full Sudden Cardiac Arrest Solution provider, and Digitech, the leader in EMS revenue cycle management.

Hybrid Schedule: M&F home office based, T-TH in office


Responsibilities

Summary:

As a full-time corporate attorney, you will work under the direction of the SVP & General Counsel and the Director of Legal Services and will be responsible for supporting Sarnova's business operations. General duties will include drafting and negotiating a variety of commercial contracts, managing litigation and advising on health law regulatory issues. The attorney will be an operational partner who is well-versed in counseling clients on complex business and legal matters. This individual will interface with internal and external business partners at all levels and across multiple brands and functions in support of domestic and international business initiatives.

Essential Duties and Responsibilities:

  • Draft and negotiate a wide variety of commercial agreements, including product sourcing agreements, GPO/IDN and other customer agreements, warehousing, distribution and fulfillment services agreements, NDAs, marketing and consulting agreements, IT, SaaS, and other legal documents
  • Review existing business agreements and policies and provide guidance on rights and obligations
  • Provide companywide training on basic contract negotiation best practices, as well as other general legal training
    Support the company's M&A activity
  • Assist in responding to litigation, subpoenas, and other requests for information
  • Work with outside counsel to ensure the company's intellectual property registrations are current and assist in registering new trademarks
  • Support the company in responding to bids and RFPs, which may include reviewing bid documents, drafting alternative contract provisions, and providing guidance related to complying with MWBE requirements
  • Advise on legal developments impacting the business

Qualifications:

  • Law Degree from an accredited ABA-accredited law school
  • Admited, in good standing, to the Ohio Bar (or other state bar)
  • 3 to 5 years of relevant experience

Skills/Experience Required:

  • Ability to clearly, concisely, and comprehensively draft complex concepts, provisions, and deal structures into contracts
  • Efficiently manage a large volume and variety of transactions, negotiate numerous standard and complex corporate and commercial agreements while balancing appropriate legal and business risks
  • Demonstrated ability to maintain the utmost level of discretion and confidentiality of sensitive and highly confidential information
  • Ability to collaborate cross-functionally (sales, marketing, IT, HR, finance, customer service, warehouse etc.) to achieve business objectives
  • Ability to clearly, concisely, and comprehensively translate and communicate complex concepts at all levels of an organization
  • Proven ability to draft clear and complex policies, processes, procedures
  • Strong research skills
  • Strong attention to detail and accuracy
  • Strong interpersonal skills and the ability to resolve competing interests
  • Self-motivated, goal oriented and results driven
